I. Execution of Merger Agreement between TOMY and Takara
1. Purpose of Merger
This merger will integrate the toy business operations of TOMY and
Takara, their core operations, which will promote the development of
attractive content, the effective use of existing content and the
expansion of TOMY and Takara's toy entertainment business by using
their product development and marketing abilities in a mutually
complementary manner, and to reinforce their management fundamentals
in response to environmental shifts such as a decrease in the number
of children, the progress of IT and globalization by strengthening
profitability due to synergic effects realized by cost reduction
through improving the efficiency of various areas such as
production, logistics, sales and administration.

(Kyodo) _ Japanese toymakers Takara Co. and Tomy Co. said Friday they have signed an agreement to merge on March 1 next year, while the accord is subject to approval at their respective extraordinary general meetings of shareholders on Sept. 6.
Among Japanese toymakers, Takara is now ranked second in sales and Tomy third. A new firm emerging from their merger would still be the second largest as their combined sales fell short of those of Bandai Co., Japan's No. 1 toymaker, which plans to set up a joint holding company with home video games developer Namco Ltd. in September.
With Friday's signing of the agreement, Tomy said it will implement a one-for-two stock split based on a list of shareholders on Sept. 30.
In this respect, Tomy said the merger ratio will change to 0.356 of a Tomy share for each Takara share, from 0.178 as set up under their merger plan announced in May.
